TransLabs provides specialized medical billing services for clinical laboratories, reference laboratories, and diagnostic testing facilities. Our commitment to compliance, accuracy, and transparency is reflected in these comprehensive service terms.
Definitions and Key Terms
For purposes of these Terms and Conditions:
“Client” refers to any laboratory, healthcare facility, or practice that engages TransLabs for laboratory billing or revenue cycle management services.
“Services” means all laboratory billing, coding, claims management, denial management, revenue cycle management, and related administrative services provided by TransLabs.
“PHI” refers to Protected Health Information as defined under HIPAA (Health Insurance Portability and Accountability Act).
“Agreement” means the formal service agreement executed between TransLabs and Client, which incorporates these Terms and Conditions.
“Laboratory Billing Services” includes claim submission, payment posting, accounts receivable management, denial management, and all related billing functions for clinical laboratory testing.
Scope of Laboratory Billing and RCM Services
Service Description
TransLabs provides comprehensive laboratory billing and revenue cycle management services including but not limited to:
- Medical coding for laboratory procedures (CPT, HCPCS, ICD-10)
- Insurance eligibility verification and benefits investigation
- Prior authorization and medical necessity documentation
- Electronic claim submission to Medicare, Medicaid, and commercial payers
- Payment posting and account reconciliation
- Denial management and appeals processing
- Accounts receivable follow-up and collections
- Compliance monitoring and audit support
- Revenue cycle analytics and reporting
Service Customization
Services are customized based on Client needs and may vary according to the executed Service Agreement. Specific services, performance metrics, and deliverables are detailed in individual Client contracts.
Client Responsibilities and Obligations
Information Provision
Clients must provide TransLabs with:
- Accurate and complete patient demographic information
- Valid insurance coverage details and authorization documentation
- Proper documentation supporting medical necessity for laboratory tests
- Timely notification of any changes to fee schedules, payer contracts, or service locations
- Access to Laboratory Information Systems (LIS) as required for billing operations
- Current provider credentialing and NPI information
Compliance Requirements
Clients are responsible for:
- Ensuring all laboratory tests are medically necessary and properly ordered
- Maintaining appropriate provider-patient relationships
- Obtaining required Advance Beneficiary Notices (ABNs) when applicable
- Complying with all Clinical Laboratory Improvement Amendments (CLIA) requirements
- Maintaining current licenses, certifications, and accreditations
- Following all LCD (Local Coverage Determination) and NCD (National Coverage Determination) guidelines
Timely Communication
Clients must promptly notify TransLabs of any changes affecting billing operations, including payer policy changes, contract updates, fee schedule modifications, or compliance concerns.
HIPAA Compliance and Data Security
Business Associate Relationship
TransLabs operates as a HIPAA Business Associate and maintains strict compliance with all HIPAA Privacy and Security Rules. A separate Business Associate Agreement (BAA) is executed with each Client as required by federal law.
Data Protection Measures
TransLabs implements comprehensive security measures to protect PHI including:
- Encrypted data transmission and storage
- Secure access controls and authentication protocols
- Regular security audits and risk assessments
- Employee training on HIPAA compliance and data security
- Incident response procedures and breach notification protocols
Data Retention
TransLabs retains billing records and PHI in accordance with federal and state regulations, typically for a minimum of seven years from date of service or as specified in the Service Agreement.
Payment Terms for Laboratory Billing Services
Service Fees
TransLabs charges for laboratory billing and RCM services based on the fee structure outlined in the Service Agreement. Common fee structures include:
- Percentage of collections
- Per-claim fees
- Flat monthly retainer fees
- Hybrid fee arrangements
Specific pricing is detailed in individual Client contracts.
Payment Processing
For collection-based fee arrangements, TransLabs calculates fees based on actual payments received and posted. Fees are typically invoiced monthly with payment due within 30 days of invoice date.
Account Credits and Adjustments
TransLabs does not charge fees on refunds, credit balances, or contractual adjustments unless otherwise specified in the Service Agreement.
Payment Terms for Laboratory Billing Services
TransLabs Proprietary Materials
All billing software, RCM tools, analytics platforms, templates, workflows, and methodologies developed by TransLabs remain the exclusive property of TransLabs. Clients receive a limited license to use these tools solely in connection with Services provided.
Client Data Ownership
All patient data, medical records, and clinical information remain the property of the Client. Upon termination of services, TransLabs will return or securely destroy Client data as specified in the Service Agreement and BAA.
Confidential Information
Both parties agree to maintain the confidentiality of proprietary business information, fee structures, processes, and trade secrets disclosed during the service relationship.
Service Level Commitments and Performance Standards
Quality Standards
TransLabs commits to maintaining industry-leading performance standards for laboratory billing services, including:
- High clean claim submission rates (typically 95%+)
- Timely claim submission (typically within 24-48 hours of charge entry)
- Proactive denial management and appeals filing
- Regular reporting and performance analytics
- Responsive client support and communication
Performance Metrics
Specific performance metrics, service level agreements (SLAs), and key performance indicators (KPIs) are defined in individual Service Agreements.
Limitation of Liability
Service Limitations
While TransLabs exercises professional care and expertise in providing laboratory billing and RCM services, we cannot guarantee specific collection amounts or reimbursement rates. Multiple factors affect laboratory reimbursement including payer policies, coverage determinations, documentation quality, and regulatory changes.
Liability Cap
To the maximum extent permitted by law, TransLabs’ total liability for any claims arising from or related to Services shall not exceed the fees paid by Client to TransLabs during the twelve months preceding the claim.
Excluded Damages
TransLabs shall not be liable for indirect, incidental, consequential, special, or punitive damages including lost profits or revenue, even if advised of the possibility of such damages.
Client Indemnification
Client agrees to indemnify and hold TransLabs harmless from claims arising from: (a) Client’s failure to comply with applicable laws and regulations; (b) inaccurate or incomplete information provided by Client; (c) Client’s violation of payer agreements or medical necessity requirements; or (d) Client’s breach of these Terms and Conditions.
Compliance with Healthcare Regulations
Regulatory Adherence
TransLabs maintains compliance with all applicable healthcare billing regulations including:
- Medicare and Medicaid billing requirements
- HIPAA Privacy and Security Rules
- Anti-Kickback Statute and Stark Law
- False Claims Act provisions
- PAMA (Protecting Access to Medicare Act) requirements
- State-specific laboratory billing regulations
Compliance Monitoring
TransLabs implements ongoing compliance monitoring, regular audits, and quality assurance processes to ensure billing accuracy and regulatory adherence.
Regulatory Updates
TransLabs monitors changes to laboratory billing regulations, payer policies, and coverage determinations, adjusting billing practices accordingly. However, ultimate compliance responsibility rests with the Client as the healthcare provider.
Term and Termination of Services
Service Term
The initial term and renewal provisions are specified in the Service Agreement. Most TransLabs contracts include an initial term followed by automatic renewal unless terminated according to contract provisions.
Termination Rights
Either party may terminate the Service Agreement for cause (material breach) or without cause according to the notice provisions in the Agreement, typically requiring 60-90 days written notice.
Termination Obligations
Upon termination:
- TransLabs will complete processing of claims in progress unless otherwise directed
- Final accounting and settlement will be completed within 60 days
- Client data will be returned or destroyed according to BAA requirements
- Outstanding fees and expenses will be due and payable
- TransLabs will provide reasonable transition assistance
Post-Termination Support
TransLabs may provide transition support services for an additional fee to facilitate smooth transfer to a new billing provider or in-house billing operations.
